MusiqCheq (“Company,” “MusiqCheq,” “we,” or “us”) develops and maintains the website www.MusiqCheq.com (the “Website”) as a free music license document management tool designed to help organizations that manage music competitions (such as marching band competitions, figure skating competitions, and similar events) manage and track their competitors’ music copyright licenses. Competitors upload their license agreements through a public-facing submission form, and authorized reviewers within the organization review the submitted documents.

These Terms of Use are entered into by and between You and MusiqCheq. The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, the “Applicable Terms of Use”), govern your access to and use of MusiqCheq.com, including any content, functionality, and services offered on or through the Website, whether as a guest, a registered organization user, or a competitor submitting documents.

Please read the Applicable Terms of Use carefully before you start to use the Website. By using the Website or by clicking to accept or agree to the Applicable Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Applicable Terms of Use and our Privacy Policy. If you do not want to agree to these Applicable Terms of Use or the Privacy Policy, you must not access or use the Website.

This Website is offered and available to users who are 18 years of age or older, or who are authorized by a parent, legal guardian, or responsible adult associated with a participating organization. By using this Website, you represent and warrant that you meet these eligibility requirements. If you are under 18, you may only use the Website with the involvement and consent of a parent, legal guardian, or authorized adult affiliated with your organization.

MusiqCheq.com provides the following services at no charge to users:

• For Organizations: Registration and account creation; organization profile management; event creation and management for music competitions; generation of unique competitor submission URLs; review and management of submitted license documents; and tools to approve or reject competitor submissions based on licensing requirements.
• For Competitors: A public-facing submission form (accessed via a unique URL provided by the organizing body) through which competitors answer questions about their music usage and upload copies of their music copyright license agreements in PDF format for review.

Important: MusiqCheq.com is a document management tool. It does not issue, sell, broker, or administer music copyright licenses. It does not provide legal advice. The Website is designed solely to assist organizations in collecting and reviewing license documentation submitted by competitors. Users requiring music copyright licenses should contact the appropriate rights holders or licensing organizations.

We may revise and update these Applicable Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Website following the posting of revised Applicable Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

MusiqCheq may also notify registered users when material changes are made and may require you to agree to and accept the revised Applicable Terms of Use before continuing to use the Website.

To access certain features of the Website (for example, to create events, manage competitor submissions, or invite authorized users to your organization), you must create an account (“Account”) and provide certain information about yourself and your organization as prompted by the registration form. You represent and warrant that: (a) all required registration information you submit is truthful and accurate; and (b) you will maintain the accuracy of such information.

You are responsible for:

• Making all arrangements necessary for you to have access to the Website.
• Ensuring that all persons who access the Website through your internet connection or your organization’s account are aware of these Applicable Terms of Use and comply with them.
• Maintaining the confidentiality of your username, password, and any other security credentials associated with your Account.
• Notifying us immediately of any unauthorized access to or use of your Account or any other breach of security.

You agree not to provide any other person with access to the Website using your credentials unless they have been formally invited as an authorized user through the Website’s invitation feature. You should use particular caution when accessing your Account from a public or shared computer.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Applicable Terms of Use. You may deactivate your Account at any time by contacting support@musiqcheq.com.

When you register on the Website, you create both a personal user account and an organization profile. The individual who registers the organization is designated as the “Primary User” and has full administrative privileges over the organization’s account, including the ability to:

• Edit the organization’s profile information.
• Create and manage events.
• Invite additional authorized users to the organization’s account.
• Remove authorized users from the organization’s account.
• Review and act upon competitor submissions.

Authorized users invited by the Primary User have limited privileges as defined by the Website’s functionality. The Primary User is responsible for the actions of all authorized users within their organization’s account.

Competitors access the Website through a unique URL generated by the organizing body for a specific event. By submitting documents through the Website, competitors agree to the following:

• Accuracy of Information: All information provided in the submission form, including but not limited to the competitor’s name, organization name, song titles, and answers to licensing questionnaire questions, must be truthful and accurate.
• Document Authenticity: All uploaded license documents must be authentic, unaltered copies of actual license agreements. Uploading forged, fabricated, or materially altered documents is strictly prohibited and may result in disqualification from the competition and/or legal action.
• File Format: The Website accepts document uploads in PDF format only.
• Authorized Submission: By uploading a license document, you represent and warrant that you have the right and authority to submit the document for review.
• No Guarantee of Approval: Submission of documents through the Website does not guarantee approval. All final decisions regarding the sufficiency of licensing documentation are made by the organizing body’s authorized human reviewers.

Document Retention: Uploaded documents are stored securely on the Website’s platform for the purpose of license document management. Documents are accessible only to the authorized reviewers within the relevant organization and to MusiqCheq as the Website operator. Documents are not shared with third parties except as may be required by law or as described in our Privacy Policy.

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Applicable Terms of Use permit you to use the Website solely for the purposes described herein: managing music copyright license documentation in connection with music competitions. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your web browser for display enhancement purposes.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website in breach of the Applicable Terms of Use, your right to use the Website will cease immediately. No right, title, or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by the Company.

The Company name, the term “MusiqCheq,” the Company logos, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

You may use the Website only for lawful purposes and in accordance with these Applicable Terms of Use. You agree not to use the Website:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.

• To submit false or misleading information in competitor questionnaire responses.
• To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm the Company or users of the Website, or expose them to liability.

Additionally, you agree not to:

• Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Website.
• Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website.

• Notify the relevant competition organizing body if we have reason to believe that a competitor has submitted fraudulent or materially altered documents.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone submitting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

MusiqCheq.com is provided as a free service. There are no fees, charges, or costs associated with creating an Account, registering an organization, creating events, generating competitor submission URLs, or submitting documents as a competitor. MusiqCheq reserves the right to introduce paid features or tiers of service in the future, with appropriate notice to users.

Note: MusiqCheq.com does not issue, sell, or administer music copyright licenses. If you need to obtain a music copyright license, please contact the appropriate rights holders or licensing organizations.

All information we collect on this Website is subject to our Privacy Policy. By using the Website, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy. This includes information provided during registration, information submitted in competitor forms, and documents uploaded to the Website.

If you believe that any content on the Website violates your copyright, please contact us at support@musiqcheq.com with a notice of copyright infringement. It is the policy of the Company to terminate the user accounts of repeat infringers.

The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

All matters relating to the Website and these Applicable Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Applicable Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York, in each case located in the Borough of Manhattan and County of New York, although we retain the right to bring any suit, action, or proceeding against you for breach of these Applicable Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE APPLICABLE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

If any provision of these Applicable Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Applicable Terms of Use will continue in full force and effect.

The Applicable Terms of Use, our Privacy Policy, and any other additional terms and conditions that may apply to specific portions, services, or features of the Website constitute the sole and entire agreement between you and MusiqCheq with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Website.
